Starting your own company is an exciting endeavor, and a small business lawyer can help you begin on the right foot. The Law Office of W. Randall Holcomb, based in High Point, counsels Triad-area small businesses about running their enterprises, including how to set up a limited liability company, known as an LLC, in North Carolina.

One benefit of creating an LLC is it protects your personal assets from legal judgments against your company. To complete the process, here are the steps the state requires:

  • Select A Company Name: Your LLC must have a name different from the name of any other company registered with the North Carolina Secretary of State’s office. The state provides an online database so you can check registered names. Your company name must include a form of the words “limited liability company” or a form of the abbreviation “LLC.”
  • small business lawyerDesignate A Registered Agent: The registered agent must be a person or business entity with a physical address in North Carolina. The Articles of Organization for your LLC must state the street address (and the mailing address, if different from the street address) of the registered agent’s office, as well as the county in which the registered agent’s office is located, and the name of the initial registered agent. You’ll appoint the registered agent to accept service of legal papers, such as a summons or complaint, if a lawsuit is brought against the LLC.
  • File Articles Of Organization: Form L-101, Articles of Organization, must be filed with the North Carolina Secretary of State. You’ll need to fill out the name and address of the LLC, the registered agent, and the signatures of the LLC members or organizers. The articles can be filed online or by mail.
